Please read these Terms of Use ("Terms", "Terms of Use") carefully before using the service provided at https://walnut.ai (the Services), operated by Walnut AI, Inc.

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Services.

By accessing or using the Services you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Services.

Service Eligibility

The Services are not for use by anyone under the age of 16.

To use the Services, you agree that: (1) you must be the Minimum Age(described below)or older; (2) you will only have one Walnut account, which must be in your real name; and (3) you are not already restricted by Walnut from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 16.

“Minimum Age” means 16 years old. However, if law requires that you must be older in order for Walnut to lawfully provide the Services to you without parental consent (including using your personal data) then the Minimum Age is such older age.

Service Availability

We may change or limit the availability of some features, or end any Service.

We may change, suspend or discontinue any of our Services. We may also limit the availability of features, content and other information so that they are not available to all Visitors or Members (e.g., by country or by subscription access).

We don’t promise to store or show (or keep showing) any information (including content) that you’ve shared. Walnut is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or other information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.

Your Account

Members are account holders. You agree to: (1) protect against wrongful access to your account (e.g., use a strong password and keep it confidential); (2) not share or transfer your account or any part of it (e.g., sell or transfer the personal data of others by transferring your connections); and (3) follow the law, our list of Dos and Don’ts (described below). You are responsible for anything that happens through your account unless you close it or report misuse.

Notices and Messages

You’re okay with us providing notices and messages to you through our websites, apps, and contact information. If your contact information is out of date, you may miss out on important notices.

Events on Our Platform

Events listed on Walnut are organized by event hosts, not us. We are a third party service providing the technology for managing and checking events, and are not responsible or liable:

Hosts have full control over their events, and it is their responsibility to inform you of any relevant terms or policies that apply to your use of the Service outside of these Terms, as well as to respond to and resolve any disputes that you may have regarding their events.

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content").

Subject to these Terms, you may share political opinions or other Content as permitted by applicable law. You agree that you are solely responsible for any content you post on the Service.

You further agree that unless we agree otherwise in writing, you grant us and applicable hosts an unrestricted, worldwide, irrevocable, non-exclusive and royalty-free right to use, adapt, modify, publish, translate, distribute and display any Content you post on the Service, in any form or media.

Recommendations and Automated Processing

We use data and other information about you to make and order relevant suggestions and to generate content for you and others.

Recommendations: We use the data and other information that you provide and that we have about users and content on the Services to make recommendations for connections, events, content, ads and features that may be useful to you. We use that data and other information to recommend and to present information to you in an order that may be more relevant for you. For example, that data and information may be used to recommend events to you and you to other users and to organize contents in your feed in order to optimize your experience and use of the Services. Keeping your profile accurate and up to date helps us to make these recommendations more accurate and relevant.

Generative AI Features: By using the Services, you may interact with features we offer that recommend events or contents to you. The content might be inaccurate, incomplete, delayed, misleading or not suitable for your purposes. Please review these events, connections and contents before really using them.

Export Controls and Designated Persons

The Service is operated from the United States and it is possible, however unlikely, that software available at or through the Service may be subject to United States export controls administered by the United States Commerce Department or sanctions programs administered by the United States Treasury Department. No software available at or through the Service may be downloaded or otherwise exported or re-exported (a) into (or to a national or resident of) any country subject to a United States or United Nation embargo or sanction; (b) to anyone on the United States Treasury Department’s list of Specially Designated Nationals and Blocked Persons (“SDN List”); (c) to anyone on the United States Commerce Department’s Denied Persons List or Entity List; or (d) to anyone subject to the same or similar restrictions as the foregoing. Governing Law, Jurisdiction, and Limitation of Actions

The Service is created and controlled by Walnut AI, Inc. in the State of California, United States of America. You agree that these Terms of Use will be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law provisions. You agree that all legal proceedings arising out of or in connection with these Terms of Use or the Service must be brought in a federal or state court located in San Francisco, California, and that your claim(s) will be forever waived and barred unless filed within one year of the time in which the event(s) giving rise to such claim(s) began. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process.

General Provisions

If any provision of these Terms of Use are found to be invalid or unenforceable, such provision shall be severed from the remainder of the Terms of Use, which shall remain in full force and effect. No waiver of any breach or default of the Terms of Use shall be deemed to be a waiver of any preceding or subsequent breach or default. You may be required to agree to additional terms and conditions to access particular sections or functions of the Service. We reserve the right, in our sole discretion and without consent or notice, to transfer, assign, sublicense, or pledge the Service or these Terms of Use, in whole or in part, to any person or entity. You may not assign, sublicense, or otherwise transfer in any manner any of your rights or obligations under the Terms of Use. The section headings used in the Terms of Use are for convenience only.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.
